Cynosure Acquires Ellman International

Cynosure has acquired Ellman International’s assets for approximately $13.2 million cash. Ellman makes the radiofrequency-based Pelleve and Pellefirm skin-tightening systems as well as the Sandstone line of medical aesthetic lasers.
“This transaction complements our brand portfolio, expands our market opportunities and enhances our recurring revenue stream,” said Michael Davin, chairman and CEO of Cynosure. “Ellman's RF product line broadens our technology platform, while its aesthetic lasers allow us to offer a value solution at a different price point than our current offerings.”

PicoSure Cleared by FDA To Treat Acne Scars

The PicoSure picosecond laser from Cynosure has received FDA clearance for the treatment of acne scars. In clinical studies, 77% of patients achieved greater than 50% improvement as graded by the physician. In addition, PicoSure received a 97% physician satisfaction rate at the one-month follow up appointment and increased to 100% at the three-month follow up. PicoSure received a 76% patient satisfaction rate at the one-month follow up appointment and increased to 86% patient satisfaction rate at the three-month follow up.

Cynosure Completes Acquisition of Palomar

Aesthetic device manufacturer Cynosure has completed of its acquisition of Palomar Medical Technologies. Cynosure purchased Palomar in a cash and stock transaction valued at approximately $287 million. In the transaction, Cynosure issued approximately six million shares and paid approximately $146 million in cash contributed by both Cynosure and Palomar. The closing of the transaction follows approvals by Cynosure stockholders and Palomar stockholders at separate meetings on June 24, 2013.

Cynosure To Acquire Palomar Medical

Aesthetic device manufacturers Cynosure and Palomar Medical Technologies have signed a definitive agreement, pursuant to which Cynosure will acquire Palomar in a cash and stock transaction valued at approximately $294 million. The two companies, which are both based in Massachusetts, report a total combined installed base of more than 20,000 aesthetic laser systems worldwide, with a distribution network that spans more than 100 countries.

The Cynosure PicoSure laser workstation has received FDA clearance for the removal of tattoos and benign pigmented lesions. In a study by Roy Geronemus, MD, director of the Laser & Skin Surgery Center of New York, PicoSure treatments over a two-week period led to a more than 80% overall tattoo clearance, with 94% clearance for difficult-to-remove blue and green inks.
